Partnership Engagements
Separate Agreements
These Terms govern your use of the Website only. If you enter into a partnership with Elvetica, we'll execute separate, customized partnership agreements that detail:
- Equity stakes and ownership structure
- Scope of work and deliverables
- Responsibilities and commitments
- Success milestones and triggers
- Confidentiality and intellectual property terms
Those partnership agreements will supersede these Terms with respect to the specific engagement.
No Partnership Created by Website Use
Simply using the Website, downloading resources, or attending workshops does not create a partnership, joint venture, employment, or agency relationship between you and Elvetica.
Workshops and Events
Registration
When you register for workshops, webinars, or events:
- You'll receive confirmation and access details via email
- You agree to provide accurate contact information
- Registration is non-transferable unless we approve
Cancellation and Refunds
- Free events: No refund necessary; you may cancel by notifying us
- Paid events: Refund policies will be stated at registration. Typically:
- Full refund if you cancel 7+ days before the event
- 50% refund if you cancel 3-6 days before
- No refund for cancellations less than 3 days before or no-shows
Event Changes
We reserve the right to cancel, reschedule, or modify event details (date, time, format, speakers). If we cancel an event, you'll receive a full refund for paid events.
Recording and Use
Events may be recorded for internal use or future distribution. By participating, you consent to being recorded. If you prefer not to appear on camera, keep your video off during virtual events.
Lead Magnets and Downloadable Resources
Personal Use License
When you download lead magnets (templates, guides, frameworks, checklists), you receive a personal-use license with these terms:
You may:
- Use resources for your own business or professional development
- Share within your organization for internal use only
- Adapt resources to fit your specific situation
You may not:
- Redistribute, resell, or sublicense resources to others

In no event shall Elvetica's total liability to you for all damages exceed the amount you paid to Elvetica in the twelve (12) months prior to the event giving rise to liability, or $100 USD if you've paid nothing.

Effect of Termination
Upon termination:

- Previously downloaded resources may be retained per the personal-use license, but you may not download additional resources
Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict of law provisions. Federal laws of the United States also apply where applicable.
Jurisdiction
You agree that any legal action or proceeding related to these Terms or the Website shall be brought exclusively in the state or federal courts located in New York, New York. You consent to the jurisdiction of such courts and waive any objections to venue.
Dispute Resolution
Before filing any legal action, you agree to first attempt to resolve the dispute informally by contacting us at info@elvetica.co. We'll work in good faith to resolve the issue.
Class Action Waiver
You agree to bring any disputes in your individual capacity only, not as a plaintiff or class member in any class, consolidated, or representative action. Class arbitrations, class actions, and representative actions are not permitted.

We may modify these Terms at any time. When we do:

- For material changes, we'll provide notice via email or a prominent Website banner
- Continued use of the Website after changes constitutes acceptance of the modified Terms
